The provision of consulting and technical services is governed by a separate Master Services Agreement (MSA) or Statement of Work (SOW) executed by both parties. In the event of any conflict between these Terms and a signed service agreement, the service agreement shall prevail.

6. Client Responsibilities

As a client of our Services, you agree to:

  • Provide accurate and complete information necessary for the delivery of Services
  • Grant reasonable access to your systems, personnel, and facilities as needed
  • Timely review and approve deliverables, designs, and milestones
  • Pay all fees and expenses in accordance with the agreed payment schedule

7. Limitation of Liability

To the fullest extent permitted by applicable law, NAT, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption, arising out of or related to the use of our Site or Services.

Our total liability for any claim arising from these Terms or our Services shall not exceed the total fees paid by you for the specific service giving rise to the claim.

8. Disclaimer of Warranties

Our Site and Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

9. Indemnification

You agree to indemnify, defend, and hold harmless NAT, LLC, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site, violation of these Terms, or infringement of any third-party rights.

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Fayette County, Kentucky.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site after any changes constitutes acceptance of the new Terms.
